The Howey Test has been applied to find that many non-traditional investments are a security. The Howey Test has been applied to find that many non-traditional investments are a security. So for instance, in a later case, the court found that sale of shares in a housing cooperative that were bundled with the cost of an apartment to be used as a residence and where the coop income is used for common operating expenses and upkeep of the building, there was not a securities transaction where the investors were attracted solely by the prospect of acquiring a place to live, and not by financial returns on their investments. However, courts have found that the sale of a condominium unit itself can be a security where (i) the offer of the unit is accompanied with an opportunity to participate in a rental pool; (ii) the offer of the unit requires use of an exclusive rental agent; (iii) the offer of a unit that limits time of use of the owner or involves shared ownership (time share arrangements); or (iv) advertising the sale of a unit with an emphasis on economic benefit (such as rental income or tax benefits). Applying the Howey Test, courts have interpreted a security to include such diverse items as citrus groves, warehouse receipts, chinchillas, minks, diamonds, bullion, pay phones, prepaid phone cards, real estate and equipment, and condominium units, when they were offered or sold under circumstances involving the investment of money and expectation of a return through the efforts of others. The Howey Test actually interprets an “investment contract” as that term is used in the federal securities laws and, as later clarified by the Supreme Court in Landreth Timber Co. v. Landreth, is not meant to be used to decide whether all securities are indeed a “security.” Accordingly, where the sale of a business is completed through the sale of stock or other equity interests, if the ultimate success of the investment is dependent on the efforts of the investor/buyer, even though the stock or other equity is clearly a security in the statutory definition, the Howey Test does not apply. In particular, the Landreth court held that where a business is sold via the sale of the equity in the business, it is a security and the registration and exemption provisions of Section 5, broker-dealer registration requirements under the Exchange Act and anti-fraud provisions under both the Securities Act and Exchange Act apply. However, as I will talk about in future Lawcasts, later SEC guidance and no action letters, as well as various state statutes have carved out an exemption from the broker dealer registration requirements in this sale of business fact set... You must make sure you have a legitimate agreement to obtain money for the referrals you bring. A referral fee can be paid as a flat fee or a percentage of a deal. Real estate, whether investing or just normal listings, is highly dependent on commissions. Referral fees are different from commissions in that referral fees are indirect from clients' purchases while commissions are direct. For example, if I know of someone wanting to buy a house in Atlanta, and I am licensed as an agent in California (which means I can't sell that person a house in Atlanta,) I can connect him to an agent in Atlanta who can help him. Let's say the buyer goes ahead and buys a house from that agent -- then that agent would make the full commission from the purchase. At that point, it is standard (and friendly) practice for that agent to offer me a small chunk of what he made from that purchase because if it weren't for me sending him the buyer, he never would have made the commission. So he makes the commission and I make a referral fee. This is what I mean by direct pay versus indirect. What is a wholesale assignment contract? Finding and creating real estate wholesale deals is an awesome way to make $20,000 - $40,000 every month. In order to do that, a person who is essentially a marketer would: 1. Find motivated sellers from lead sources such as unwanted inheritances, pre-foreclosures, tax defaults, expired mls listings, for sale by owners etc 2. Put a house with an accepted offer under an assignable contract with a purchase price = 65% of the after repair value minus repair estimate. 3. Then assigns the contract to a end buy who now pays a fee for finding the deal. This contract and its content varies from state to state. Therefore the best place to find the appropriate one is at your local rein (real estate investing association) Gurus and coaches may have generic version embedded inside their course. But it’s better to find the one use consistently by asking active real estate investors and wholesalers in your local market. That can also mean that you have to offer to work with or for existing investors for free. The bottomline is that a good relationship can become handy here. Even as you build relationships by bringing value to them, you can download or send the PDF version of the whole assignment contract to yourself by email from the investors computer. It’s not stealing… It’s friendship. In my opinion, finding a wholesale assignment contract is the least of your problems. You need to put together your educational plan, your marketing plan, and your real estate investing plan. Make sure that you include a deadline for every goal that you include in your plan. Deadlines get things done! The 3 most important goals for wholesaling success are . . . when does your marketing plan kick off, when will you contract your first deal, and when will you close your first deal. Once you have these written down, break each down into actionable steps . . . that’s what it means to “make your plan.” 3) Build Your Buyer’s List You want to have a wholesale buyer(s) who is ready, willing, and able to close as soon as you have a great deal contracted. And, it’s a lot easier than you may think. There are tons of investors out there in every market that are constantly on the lookout for deals. Every time you speak with a potential wholesale buyer, you want to gather as much information as you can about what type of properties they are interested in, what price range, area, etc. Use our free form for building your wholesale buyer’s list to do so. Remember, it’s not all about the size of your list . . . it’s about the quality of it. A few active serious real estate investors could be all that you need to sell your contracts fast for cash. But, it doesn’t hurt to continue to grow your list. The bigger and more responsive your list, the more money you’ll be able to fetch per deal. 4) Implement Marketing Plan The overriding question in your mind at this stage should be, “How can get my phone ringing off the hook with seller leads?” That’s how to get on the fast track to wholesaling success! A marketing plan consists of several leads generators that you consistently have in place and track the results of each. Marketing is all about testing! My first marketing plan included a “We Buy Houses” ad, bandit signs, and knocking on doors of people in foreclosure. As leads came in, we did more of what worked, and less of what didn’t, and continually tried new strategies to get the phone ringing off the hook. And keep in mind, it’s not about you and your house buying services . . . it’s about asking good questions and crafting a deal that makes sense for everyone involved. 6) Negotiate Deal One of the most costly mistakes you can make is thinking for other people. Typically with investors, more money is lost here than any other part of the deal. Make your offers based on your own criteria . . . not what you think other people will accept. Defining the expectations of sellers is an important process that will save you tons of time and money. You want sellers to know that you’re in business to make a profit, you work with a professional company, you’re not the decision maker, you can close quickly with cash, amongst other things.
