There are two main reasons for that. The first concerns incentives and the second concerns negotiation skills. Let's talk about incentives. If you have your first investors who join your company to get different rights or different privileges compared to the rest of the founding team, this can create troubles in the future. Let's say you get an acquisition offer for your company two years down the road. You, as the founding team, may feel that it's too early but you may have investors with liquidation preference, meaning that they get back their investment out of the pot from the acquisition before the remaining gets split between the shoulders. They may have an incentive to push you for the early exit even before you have fully exploited your full potential. Another aspect to keep into account is the fact that this is going to create a precedent, meaning that any future investor coming in will ask for this the same rights, if not more. You don't want that. You want to be able to get your first investment at the same level as the founding team and make sure that incentives are the same throughout the development of the company. The angel investors you get today are your business partners. They're not simply investors, they're going to help you in the ups but also they're going to help you especially in the downs and the setbacks - every startup has them. So make sure to get them on board at your same level. The second reason why you should convert your investors to common shares is that you need to prove your ability as a business owner, an entrepreneur and as a negotiator. If you cannot convince your early investors of a seed around to get in at your same level, then you may we maybe want to rethink your career as an entrepreneur, because you're going to be negotiating every single day You are going to be negotiating with employees, with customers and with suppliers. It's all about negotiation and you have to learn from whatever experience or whatever opportunity you have. This is a very good testing field, so make sure to get the deal right. Giving your investors common shares doesn't mean that your shareholder agreement shouldn't have some common rights, like drag-along, tag-along or pro rata right that would protect investors from dilution in future rounds. These are common rights and you should be open to that, actually should be in the shareholder agreement, even from the constitution date, even before you get an investor. Any legal firm can help you with that and they will make sure to that you have a good shareholder agreement. So these are common practices, watch out for special special rights like liquidation preferences or full ratchet, that I'm not going to address today but I may in a future video.

So for instance, in a later case, the court found that sale of shares in a housing cooperative that were bundled with the cost of an apartment to be used as a residence and where the coop income is used for common operating expenses and upkeep of the building, there was not a securities transaction where the investors were attracted solely by the prospect of acquiring a place to live, and not by financial returns on their investments. However, courts have found that the sale of a condominium unit itself can be a security where (i) the offer of the unit is accompanied with an opportunity to participate in a rental pool; (ii) the offer of the unit requires use of an exclusive rental agent; (iii) the offer of a unit that limits time of use of the owner or involves shared ownership (time share arrangements); or (iv) advertising the sale of a unit with an emphasis on economic benefit (such as rental income or tax benefits). Applying the Howey Test, courts have interpreted a security to include such diverse items as citrus groves, warehouse receipts, chinchillas, minks, diamonds, bullion, pay phones, prepaid phone cards, real estate and equipment, and condominium units, when they were offered or sold under circumstances involving the investment of money and expectation of a return through the efforts of others. The Howey Test actually interprets an “investment contract” as that term is used in the federal securities laws and, as later clarified by the Supreme Court in Landreth Timber Co. v. Landreth, is not meant to be used to decide whether all securities are indeed a “security.” Accordingly, where the sale of a business is completed through the sale of stock or other equity interests, if the ultimate success of the investment is dependent on the efforts of the investor/buyer, even though the stock or other equity is clearly a security in the statutory definition, the Howey Test does not apply. In particular, the Landreth court held that where a business is sold via the sale of the equity in the business, it is a security and the registration and exemption provisions of Section 5, broker-dealer registration requirements under the Exchange Act and anti-fraud provisions under both the Securities Act and Exchange Act apply. However, as I will talk about in future Lawcasts, later SEC guidance and no action letters, as well as various state statutes have carved out an exemption from the broker dealer registration requirements in this sale of business fact set... You must make sure you have a legitimate agreement to obtain money for the referrals you bring. A referral fee can be paid as a flat fee or a percentage of a deal. Real estate, whether investing or just normal listings, is highly dependent on commissions. Referral fees are different from commissions in that referral fees are indirect from clients' purchases while commissions are direct. For example, if I know of someone wanting to buy a house in Atlanta, and I am licensed as an agent in California (which means I can't sell that person a house in Atlanta,) I can connect him to an agent in Atlanta who can help him. Let's say the buyer goes ahead and buys a house from that agent -- then that agent would make the full commission from the purchase. At that point, it is standard (and friendly) practice for that agent to offer me a small chunk of what he made from that purchase because if it weren't for me sending him the buyer, he never would have made the commission. So he makes the commission and I make a referral fee. This is what I mean by direct pay versus indirect. As a result, although structured very differently because the seller isn't the one paying you, you earn what is basically a referral fee for finding that buyer. They don't necessarily have to be properties for flipping, as with wholesalers, they can be properties of any sort. Usually the only hindrance is the legality of who can pay what. Most likely if someone doesn't offer you a referral fee -- it's because they legally can't. I'll explain more here. Joe: One of the things that we do with the Automarketer, Push Button Method and the clone system is we have a system that sends out email, gets people to respond and then send them an email in response to their response that guides them to a website. The website then sells them on the idea of working with us, using lease option memos and "Subject To" deals. Once they get to that point, then they fill out another form saying, 'Yes, I want to do it.' Joe: It sends them to a page that allows them to fill out a form, hit send, and there's a little button that says, 'This is my digital signature.' After that's signed, you have a contract in your hands without ever talking to these people at all. Joe: This is the brand new Automarketer system that I'm selling, and this is for my Push Button Method students and for my Mentor Students, and it really works. Joe: At the last buying event that I went to, I asked my students to raise their hands and tell me how many people have used the system. Then, I told them, 'Leave your hands raised if you've gotten a lease option memo signed without ever talking to a seller through this process.' They all left their hand raised because this works in every area around the country that we've ever tried it, and it gets people to sign these documents so that you have a deal. Joe: That doesn't mean that you've made money at that point. You still have to go out and sell that property, and we have automated ways to do that by using your list, but it's a great way to get started and to get these memos signed, which is perhaps the most difficult process to learn. It's not difficult once you learn how to do it, but to learn it and get started -- that's what takes a little bit of effort. I hope that helps. Tenant Lease Agreement (Review Sample Lease Agreement Page-by-Page) - Lease Agreements Vary by state - Texas sample - Lease Agreement are Pretty straightforward - Focus Areas - Parties and Property Info - Name, Address, Etc.. - Term of Contract** - be sure the tenant is aware of when the contract ends - Rent - Monthly amount, pro-rated, payment location (p.o. Box) - Payment Method - cashiers check, money order or Auto Draft - NO personal checks (avoids returned checks - Late Fees** - Exact date and time payment is due, review penalties and amounts - Pet Clause - Usually pets are not allowed unless approved by landlord, addendum needed - Non-Refundable Pet Security Deposit - $300-500 - mention carpet cleaning or replacement costs - Property Security deposit - Briefly discuss what it is for, 1st months rent, PLUS 1st months rent ***Reviewing Contracts Tip - You don't need to go through every single bullet. You are simply highlighting the major points, with the verbal follow-up "be sure to review these sections, on your own time.." - Utilities - For residential tenant usually pays utilities, must be on - regardless if they can afford it. - Occupancy** - Emphasize who is ALLOWED and NOT allowed on the premises, prohibitions - running a business out of the house, car repair (oil), etc... - Access By Landlord - brief explanation - Move-In Conditions - hand tenant walk-through - "Inventory and Condition Form" - identifies any damages to the property prior to move-in - Move-Out Conditions - Normal Wear and Tear - Property Maintenance - Highlight most important (show contract example) - Yard Maintenance** - city fine scare tactic - Prohibitions - alterations to the home are prohibited without approval - Repairs - All and any must be approved by landlord - Repair costs - tenant covers first $50-100 - Service fees are usually $80 just to come out. - Repairs Landlord will cover** - Repairs Tenant will cover** - Special Provisions - Include your verbal agreements for special circumstances - Early Termination - Military Immunity, Subletting not permitted without approval - Addendums - Create an Addendum Index for special rules and regulations, attach to the contract - Information - E. Emergency Contact - F. Tenant Insurance - For possessions - landlord not responsible - Signatures - Contract Copies * I usually sign and initial the contracts alongside the tenant * BUT, I have all the essentials already filled out to speed things along. * Remember, have the tenant initial each page as you go over it. * Review the contract before meeting your tenant, so you are familiar with all the clauses and are prepared to answer questions. Filling out lease agreements may seem daunting at first, because of all the pages and legal terminology, but if you really read through it, its not that hard at all. Its important that you review it multiple times, and become familiar with all the lease agreement clauses, so you sound like a professional when speaking with your tenants. This is important, because there are people out there who are "professional tenants", they know the law better than most landlords, and can play you for a fool.
